It has to do with the general tone of it. the lyrics could be all cheery, but if the music is full of distortion and low tuned 7 string guitars, it will sound more depressing...Happy music, theres alot of it in Jazz, alot of George Benson stuff is pretty happy...

It's the scale/mode used more than anything else ... The way you play the song and how you can make it feel makes difference too, and don't forget about the lyrics.
Lots of heavy rock & metal stuff are in minor scales/modes , that's why they're mostly a little sad or darker than most pop music.
