Two big differences that I see; pick ups (again) and a little bit in contruction.
Versus the Dean, the ESP has EMG's. It has an '81' model powered pick up and a '60' non-powered pick up. Most of the focus os on the 81. EMG powered pick ups are made to push more signal to the amp just like the Lawrence pick up. The idea is that a hotter, more powerful pick up with push the amp harder and give those cool overdriven overtones metal/rock players dig. The EMG does it more cleanly. In a way, a non-powered hot pick effects the cleanness of the sound. With the EMG, your send a clean, even powered sound to push the amp which should, in theory, given a truer sound. I like EMG's and have had them on guitars before for that reason. I like that I get to set the tonal character of my sound and not have to work with the 'personality' of a hot wound 'non-powered' pick up. Not everyone agrees though. Zakk Wylde is a long time EMG user.
The other differences is slight in construction. Overall, both bodies are mahogony so they will have similar sound. The ESP does have a maple cap on top of the mahagony body (a la a Les Paul) which is suggested to bring a greater density to the wood make up and better sustain (..."Can you hear that sustain"..."No"..."You would if I was playing it"...ok, that was for me..hehe).
